TERMS AND CONDITIONS

By visiting the website, creating an account, requesting a quotation, submitting a purchase order, or placing an order, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

 

Throughout these Terms and Conditions, “Office Rangers,” “we,” “us,” and “our” refer to Office Rangers and its applicable legal entity, affiliates, representatives, employees, and authorized service providers. “Customer,” “you,” and “your” refer to the person, company, government agency, educational institution, healthcare organization, nonprofit organization, or other entity accessing the website or purchasing products from us.

 

1. Website Use

 

You may use this website only for lawful commercial, organizational, or personal purchasing purposes. You agree not to use the website in any manner that could damage, disable, interfere with, or impair the website, its security, its operations, or another person’s use of the website.

 

You may not attempt to gain unauthorized access to any account, computer system, database, administrative area, server, or network associated with Office Rangers. Automated scraping, data extraction, copying of product databases, price harvesting, and unauthorized use of website content are prohibited.

 

We reserve the right to suspend, restrict, or terminate access to the website when we reasonably believe that a user has violated these Terms and Conditions, attempted fraudulent activity, created a security risk, or misused the website.

We make reasonable efforts to provide accurate product titles, descriptions, specifications, images, manufacturer part numbers, availability information, and pricing. However, product information may originate from manufacturers, distributors, suppliers, or other third parties.

 

Images may be provided for illustration only. Actual packaging, labeling, accessories, product revision, country of origin, color, specifications, or appearance may differ from the information displayed on the website.

 

Customers are responsible for confirming that a product meets their technical, operational, regulatory, compatibility, safety, and intended-use requirements before purchasing it.

 

4. Quotations

 

A quotation issued by Office Rangers is valid only for the period stated in the quotation. Unless otherwise stated, quotations are subject to product availability, supplier confirmation, applicable taxes, shipping charges, manufacturer price changes, and verification of the requested quantities.

 

A quotation does not reserve inventory and does not constitute acceptance of an order. Inventory may be allocated only after Office Rangers accepts the customer’s order and confirms applicable payment or credit arrangements.

 

Any specifications, delivery estimates, warranty information, or other conditions stated in an accepted quotation will form part of the applicable transaction.

 

5. Orders and Acceptance

 

Submitting an order, purchase order, payment, or online checkout request constitutes an offer to purchase products from Office Rangers. An automated acknowledgment, payment authorization, or confirmation that an order was received does not necessarily mean that the order has been accepted.

 

Office Rangers may accept, reject, limit, or cancel an order for reasons including:

 

* Product unavailability;

* Incorrect pricing or product information;

* Supplier or manufacturer restrictions;

* Payment authorization failure;

* Suspected fraud or unauthorized purchasing;

* Export, sanctions, regulatory, or compliance restrictions;

* Minimum-order requirements;

* Geographic or delivery limitations;

* Errors in the quotation, purchase order, or website listing; or

* Circumstances outside our reasonable control.

 

An order is considered accepted when Office Rangers issues an order confirmation, begins processing the order, or ships the applicable products.

 

6. Pricing

 

Prices displayed on the website are subject to change without notice. A product’s final price will be the price confirmed by Office Rangers when the order is accepted.

 

Website prices may not include shipping, handling, insurance, duties, environmental fees, recycling fees, installation charges, payment-processing costs, or applicable federal, state, local, provincial, or other taxes.

 

If a product is listed at an incorrect price due to a typographical error, supplier error, system error, or inaccurate information, Office Rangers may correct the price or cancel the affected order. If payment has already been collected for a cancelled order, the applicable amount will be refunded.

 

7. Taxes and Tax-Exempt Customers

 

Customers are responsible for all taxes, duties, tariffs, assessments, and governmental charges associated with their purchases unless a valid exemption applies.

 

Tax-exempt organizations must provide current and properly completed exemption documentation before the applicable order is invoiced or processed. Office Rangers may reject incomplete, expired, invalid, or improperly issued exemption documents.

 

If a taxing authority later determines that tax should have been collected, the customer remains responsible for the applicable tax, interest, penalty, or related charge to the extent permitted by law.

 

8. Payment Terms

 

Payment must be made using a payment method accepted by Office Rangers. Available payment methods may include credit card, debit card, ACH, wire transfer, company check, approved purchase order, or approved credit terms.

 

Customers purchasing under credit terms must pay invoices by the due date stated on the invoice. Office Rangers may suspend order processing, delay shipment, revoke credit terms, or cancel pending orders when invoices become overdue.

 

Customers are responsible for bank fees, wire-transfer fees, returned-payment charges, chargeback costs, collection expenses, and other costs arising from rejected, reversed, disputed, or unpaid payments.

 

A customer may not withhold or offset payment because of a separate claim unless Office Rangers has agreed to the adjustment in writing.

 

9. Fraud Prevention and Order Verification

 

Office Rangers may verify billing information, shipping information, payment authorization, purchaser identity, company affiliation, delivery location, purchase order validity, or purchasing authority before processing an order.

 

Additional documentation may be requested for high-value orders, first-time customers, orders with different billing and shipping addresses, expedited shipments, international transactions, or orders presenting an elevated fraud risk.

 

Orders may be delayed or cancelled when satisfactory verification cannot be completed.

 

10. Product Availability

 

Products are subject to availability from Office Rangers, manufacturers, authorized distributors, and other suppliers. Inventory information displayed on the website may not represent real-time availability.

 

Products may become unavailable, backordered, discontinued, allocation-restricted, substituted by the manufacturer, or subject to extended lead times after an order has been submitted.

 

Office Rangers may offer a comparable alternative product, revised delivery date, partial shipment, backorder, or order cancellation. Any substitute product requires customer approval when it materially differs from the product ordered.

 

11. Shipping and Delivery

 

Delivery dates are estimates unless Office Rangers expressly agrees in writing to a guaranteed delivery date. Shipping and delivery may be affected by supplier processing, carrier delays, weather, labor interruptions, customs procedures, product allocation, government action, security events, or other circumstances outside our reasonable control.

 

Customers are responsible for providing a complete and accurate delivery address and informing Office Rangers of applicable receiving requirements, including appointment requirements, loading-dock restrictions, security procedures, delivery-hour limitations, liftgate needs, inside-delivery requirements, or restricted-access conditions.

 

Additional carrier or delivery charges caused by inaccurate information, failed delivery, refused delivery, address correction, redirection, storage, detention, or special handling may be charged to the customer.

 

Office Rangers may ship an order in multiple packages or partial shipments. Each shipment may be invoiced separately unless otherwise agreed.

 

12. Inspection and Shipping Damage

 

Customers should inspect all packages and products promptly upon delivery.

 

Visible package damage, shortages, or signs of mishandling should be noted on the carrier’s delivery record before accepting the shipment whenever possible. Customers should retain the shipping carton, product packaging, labels, packing materials, and damaged products.

 

Shipping damage, shortages, or incorrect deliveries must be reported to Office Rangers as soon as reasonably possible and within the reporting period stated in the applicable quotation, invoice, shipping policy, or return policy.

 

The customer may be required to provide photographs, serial numbers, tracking information, delivery documents, packing slips, and a description of the damage or discrepancy.

 

When the customer uses its own carrier account or arranges transportation independently, responsibility for carrier claims may rest with the customer.

 

13. Risk of Loss and Title

 

Unless otherwise stated in writing, title and risk of loss transfer in accordance with the shipping terms stated in the applicable quotation, order confirmation, invoice, or purchase agreement.

 

Transfer of risk does not eliminate the customer’s obligation to pay for accepted products or prevent the customer from submitting an appropriate carrier, damage, shortage, warranty, or return claim.

 

14. Order Changes and Cancellations

 

Requests to change or cancel an order must be submitted promptly. An order cannot be changed or cancelled after it has shipped.

 

Products that have been specially ordered, configured, licensed, customized, assembled, registered, engraved, manufactured, imported, or procured specifically for the customer may not be cancellable.

 

A cancellation may be subject to manufacturer charges, supplier charges, restocking fees, return freight, administrative costs, or other nonrecoverable expenses incurred by Office Rangers.

 

Office Rangers is not required to accept a cancellation unless the cancellation is confirmed in writing.

 

15. Returns and RMA Requirements

 

Products may not be returned without prior authorization from Office Rangers.

 

A customer requesting a return must obtain a Return Material Authorization, or RMA, number within the applicable return period. Unless another period is stated in writing, return requests should generally be submitted within thirty days of the applicable invoice date.

 

The customer may be required to provide:

 

* Invoice or order number;

* Manufacturer part number;

* Product serial number;

* Quantity being returned;

* Reason for return;

* Condition of the product;

* Whether the packaging has been opened; and

* Photographs or supporting documentation.

 

Issuance of an RMA number does not guarantee that a refund or credit will be approved. Returned products remain subject to inspection and verification.

 

The RMA number must be clearly included on the return documentation or shipping label. Products returned without authorization may be refused or returned to the customer at the customer’s expense.

 

Returnable products must generally be unused, undamaged, complete, and in resalable condition with original packaging, manuals, cables, accessories, components, warranty cards, licenses, and other included materials.

 

Approved returns may be subject to shipping costs, manufacturer restrictions, supplier restrictions, restocking fees, refurbishment deductions, missing-component deductions, or other applicable charges.

 

16. Nonreturnable Products

 

Unless Office Rangers expressly approves otherwise in writing, nonreturnable products may include:

 

* Opened software or activated licenses;

* Downloadable or electronically delivered products;

* Customized, configured, engraved, assembled, or specially ordered products;

* Products subject to manufacturer or distributor return restrictions;

* Consumable products;

* Products with broken security seals;

* Products missing packaging, accessories, documentation, or serial labels;

* Clearance, liquidation, discontinued, final-sale, or special-price products;

* Hygiene-sensitive, sterile, medical, or personal-use products;

* Hazardous or regulated materials;

* Products damaged through misuse, improper installation, neglect, accident, unauthorized repair, or unsuitable storage; and

* Products purchased for export where return restrictions apply.

 

17. Refunds and Credits

 

Approved refunds or credits will generally be issued after the returned product has been received, inspected, and accepted.

 

Refunds may be issued to the original payment method or as an account credit, depending on the original transaction and the agreement with the customer.

 

Original shipping charges, expedited-delivery charges, special-handling charges, payment-processing fees, installation charges, and return freight may be nonrefundable unless the return resulted directly from an Office Rangers error.

 

Processing times may vary depending on the payment provider, manufacturer, distributor, inspection process, and nature of the return.

 

18. Manufacturer Warranties

 

Products are generally covered only by the applicable warranty provided by the original equipment manufacturer, when such a warranty is available.

 

Warranty duration, coverage, exclusions, remedies, registration requirements, and claim procedures are determined by the manufacturer. Office Rangers does not independently extend or modify a manufacturer’s warranty unless expressly stated in writing.

 

The customer may be required to contact the manufacturer directly for troubleshooting, repair, replacement, advanced replacement, warranty authorization, or issuance of a support case number.

 

When practicable, Office Rangers may assist the customer with a manufacturer warranty claim. Such assistance does not make Office Rangers responsible for the manufacturer’s decision, response time, repair, replacement, or warranty performance.

 

19. Software and Digital Products

 

Software, subscriptions, cloud services, electronic licenses, support plans, and digital products are subject to the applicable publisher’s or manufacturer’s license agreement, subscription terms, usage restrictions, privacy terms, and end-user agreement.

 

By purchasing, downloading, activating, installing, accessing, or using such products, the customer agrees to the applicable third-party terms.

 

Software keys, licenses, subscriptions, and electronically delivered products may be nonreturnable after issuance, activation, registration, download, or delivery.

 

Office Rangers does not guarantee that software or digital products will be compatible with the customer’s systems unless compatibility has been expressly confirmed in writing.

 

20. Medical, Tactical and Industrial Products

 

Certain medical, tactical, industrial, safety, controlled, regulated, or specialized products may be subject to additional purchasing, shipping, licensing, age, training, certification, end-use, geographic, or regulatory restrictions.

 

The customer is responsible for confirming that it is legally authorized and properly qualified to purchase, possess, transport, install, distribute, export, resell, or use such products.

 

Office Rangers may request licenses, certifications, end-user information, end-use statements, agency credentials, export documentation, or other verification before accepting an order.

 

Product information provided through the website is not medical, safety, engineering, legal, tactical, or professional advice. Customers must follow applicable manufacturer instructions, professional guidance, safety requirements, and regulatory standards.

 

21. Government and Institutional Customers

 

Government agencies, educational institutions, healthcare organizations, nonprofit entities, prime contractors, and other institutional customers may submit purchase orders subject to approval by Office Rangers.

 

Any additional or conflicting terms contained in a customer’s purchase order, procurement portal, solicitation, vendor form, or other document will not modify these Terms and Conditions unless Office Rangers expressly accepts those terms in writing through an authorized representative.

 

Government contract clauses, flow-down requirements, domestic preference requirements, cybersecurity requirements, socioeconomic requirements, or other procurement provisions apply only when specifically identified and accepted by Office Rangers in writing.

 

22. Resale and Export Compliance

 

Customers purchasing products for resale are responsible for maintaining all required resale certificates, licenses, registrations, permits, and customer records.

 

Products, software, and technical information may be subject to United States export-control laws, trade restrictions, economic sanctions, manufacturer restrictions, or destination-control requirements.

 

Customers agree not to export, re-export, transfer, release, sell, supply, or otherwise provide products to prohibited destinations, restricted persons, sanctioned entities, unauthorized end users, or prohibited end uses.

 

Office Rangers may refuse or cancel a transaction when compliance verification cannot be completed or when the transaction presents an actual or potential legal, regulatory, sanctions, fraud, or export-control concern.

 

23. Intellectual Property

 

The website and its content, including the Office Rangers name, logos, graphics, layout, text, icons, databases, product organization, website design, and original materials, are owned by or licensed to Office Rangers and are protected by applicable intellectual-property laws.

 

Manufacturer names, logos, product images, part numbers, descriptions, and trademarks belong to their respective owners. Their appearance on the website does not necessarily indicate endorsement, sponsorship, partnership, or affiliation unless expressly stated.

We may update, suspend, restrict, modify, replace, or discontinue any website feature, product listing, service, or section without notice.

 

Customers are responsible for maintaining appropriate internet security, backups, antivirus protection, access controls, and device security when using the website.

 

27. Disclaimer of Warranties

 

To the fullest extent permitted by applicable law, the website, website content, product information, and online services are provided on an “as is” and “as available” basis.

 

Except for warranties expressly stated in writing or provided by the applicable manufacturer, Office Rangers disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, compatibility, and noninfringement.

A failure or delay by Office Rangers in enforcing any provision does not waive the right to enforce that provision or any other provision later.

36. Assignment

 

Customers may not assign or transfer their rights or obligations under these Terms and Conditions without prior written approval from Office Rangers.

 

Office Rangers may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, or transfer of business operations.

 

37. Entire Agreement

 

These Terms and Conditions, together with the applicable quotation, order confirmation, invoice, Privacy Policy, Shipping Policy, Return and Warranty Policy, and any written agreement accepted by Office Rangers, constitute the agreement governing the applicable transaction.

 

In the event of a conflict, a separately signed written agreement will control, followed by an accepted quotation or order confirmation, and then these Terms and Conditions.

 

38. Changes to These Terms

 

Office Rangers may revise these Terms and Conditions periodically. The updated version will become effective when posted on the website with a revised effective date.

 

Changes will not retroactively alter a completed transaction unless required by law or agreed by the parties.

 

Continued use of the website after revised Terms and Conditions are posted constitutes acceptance of the updated terms.
